Contracts Manager
Summary
As an Advisor Contracts at Gainwell, you will serve as an individual contributor responsible for leading the development, negotiation, interpretation and administration of complex contracts and associated governance across the enterprise. This role partners closely with legal, procurement, HR, and business stakeholders to manage contractual risk, ensure regulatory compliance, and drive standardized contract practices that support organizational and client objectives.
We are seeking an experienced and highly motivated Advisor Contracts to support a U.S.-based healthcare technology and services organization focused on contracts with vendors, state and local governments as well as commercial entities. This role will be responsible for independently managing complex commercial, healthcare, technology, vendor, and government-related contracts throughout the contracting lifecycle.
The ideal candidate will possess exceptional English communication skills, strong contract interpretation and negotiation experience, sound business judgment, and the ability to operate independently while partnering closely with U.S.-based legal, sales, procurement, delivery, and executive teams.
Your role in our mission
When joining Gainwell, you will:
• Draft, review, negotiate, and manage a wide variety of agreements, including:
- Master Services Agreements (MSAs)
- Statements of Work (SOWs)
- Amendments and Change Orders
- Non-Disclosure Agreements (NDAs)
- Teaming Agreements
- Software, SaaS, and technology agreements
- Vendor and subcontractor agreements
- State, local and commercial healthcare-related services agreements
• Lead contract negotiations with customers, vendors, subcontractors, and business partners.
• Analyze contractual risks and develop practical risk-mitigation strategies.
• Interpret contract provisions and provide clear guidance to internal legal, contracts and business stakeholders regarding rights, obligations, and compliance requirements.
• Provide advice to and collaborate with U.S.-based contract managers, attorneys and business leaders to resolve legal, commercial, operational, and compliance issues.
• Support proposal, bid, and procurement activities, including leading contract reviews associated with RFPs and government healthcare opportunities.
• Manage contracts for compliance with corporate policies, applicable laws, healthcare regulations, privacy requirements, and contracting standards.
• Maintain accurate contract records and manage contracts through contract lifecycle management systems.
• Track key contractual obligations, deliverables, renewals, notices, and expiration dates.
• Provide training and guidance to internal stakeholders on contract processes and risk management.
• Build strong working relationships with internal and external business partners and serve as a trusted advisor to the business.
What we're looking for
• Bachelor’s degree or equivalent experience; advanced degree (e.g., JD or MBA) preferred
• 15-18 years of experience in contracts management, legal operations, or related fields
• Strong knowledge of US contract law, regulatory compliance, and risk management principles
• Proven ability to independently assess, review, negotiate and manage complex agreements and influence senior stakeholders
• Demonstrated ability to identify, interpret, summarize contractual terms and explain legal and business implications to non-legal stakeholders.
• Strong analytical, problem-solving, communication, organization, decision-marking and stakeholder management skills
• Demonstrated experience analyzing and summarizing complex contracts with minimal supervision.
• Excellent written and verbal English communication skills, including the ability to communicate effectively with U.S.-based executives and legal professionals.
• Experience managing multiple priorities and meeting demanding deadlines in a fast-paced environment.
• Demonstrated ability to work independently with minimal supervision while exercising sound judgment.
• Mastery of Microsoft Word, Excel, PowerPoint, and contract lifecycle management tools.
Preferred Qualifications
• Years of experience supporting U.S. healthcare, healthcare technology, managed care, health plan, or Medicaid-related contracts.
• Strong familiarity with healthcare privacy, data security, compliance, and regulatory requirements.
• Demonstrated experience supporting U.S. state government contracts, healthcare procurements, or large-scale outsourcing agreements.
• Experience working within a multinational or global organization supporting U.S.-based operations.
